(BHP) announced plans to proceed with its Jansen Mine Project in Saskatchewan, Canada, potentially tapping the largest and longest-lasting supply in the world known at this time. Scotiabank (BNS) recently commented on Jansen, stating that the added supply "could add the equivalent of 18%-20% of the potash market over recent years." Nearly all of the companies mentioned have had a pretty predictable mix of upgrades and downgrades. That's what makes a market.

The explosive growth of oil and gas production in the U.S. is enough to pique the interest of any investor. While the price of natural gas has remained stubbornly low, crimping profits, the price of oil, on the other hand, has remained rather elevated. That's producing profits for oil companies, making those stocks a temping investment opportunity. Under the terms of the deal, Emeritus shareholders will receive 0.95 shares of Brookdale, and would effectively own 23% of the outstanding shares of the company once the merger is complete. Brookdale anticipates the deal being EPS neutral in 2014, and forecasts it adding $0.40 in EPS by the third year. The move certainly makes sense on paper, as cost synergies will help these two senior housing companies fight back against the expectation of declining Medicare reimbursement rates. However, over the long run, the Medicare reimbursement picture is still very cloudy, making Brookdale a riskier buy at the moment following today's announcement.

The Dow Jones Industrial Average (DJINDICES: ^DJI  ) crept higher once again today, gaining 20 points, or 0.13%, to close at 15,484, after briefly topping 15,500. Strong earnings from Citigroup helped reassure Wall Street, going into the heart of earnings season and coming on the heels of solid reports from JPMorgan Chase and Wells Fargo last week. The nation's No. 3 bank by assets reported adjusted profits up 26% on strong investment banking earnings to $1.25 a share, topping the $1.18 analysts expected. Shares finished up 2%.

Elsewhere, June retail sales disappointed, growing just 0.4% on expectations of 0.7%. Popeyes Louisiana Kitchen Inc, formerly AFC Enterprises, Inc. incorporated on July 27, 1992, develops, operates, and franchises quick-service restaurants (QSRs or restaurants) under the trade names Popeyes Chicken & Biscuits and Popeyes Louisiana Kitchen (collectively Popeyes).     Alamy Fried chicken and waffles is a staple menu item at countless soul food and comfort food restaurants, but that's not stopping Burger King (BKW) from trying to give the meal a fast-food spin. Burger King is testing a new sandwich in the Northeast that takes the breaded chicken patty used in its Classic Crispy Chicken Sandwich from its King Deals Value Menu and replaces the bun with a split waffle. Burger King's Chicken & Waffle Sandwich isn't as hearty as the meal that it's based on. It's selling for as little as $2.29. But the chain's latest attempt to turn heads with a unique menu item will at least attract curious nibblers if it does decide to broaden the offering across the country. Waffling About Burger King isn't the first popular chain to attempt to reinvent this classic dish. As Nation's Restaurant News points out, last summer, Popeyes Louisiana Kitchen (PLKI) offered Chicken Waffle Tenders -- consisting of chicken tenders dipped in a vanilla maple-scented waffle batter, served with a honey maple dipping sauce. DineEquity's (DIN) IHOP did it three years ago by combining its chicken strips with Belgian waffle quarters. Yum! Brands (YUM) tried to breathe new life into its breakfast business last summer by testing a Waffle Taco -- an egg, sausage, and waffle breakfast sandwich. Even if it doesn't succeed -- and some of the early taste tests haven't been very flattering to the chain's new sandwich -- it's at least comforting to see that Burger King isn't just copying McDonald's (MCD) the way that it has for the past couple of years. Burger King followed McDonald's in offering fancy coffee drinks, fresh fruit smoothies, and popcorn chicken. It has gone on to roll out doppelgangers of the Egg McMuffin and McRib sandwiches.     As the fast-food wars heat up, restaurants are getting more creative with their menu items. One item that is getting a lot of attention is the waffle. Two restaurant chains that have introduced their own variations of the waffle are Taco Bell, owned by Yum! Brands (NYSE: YUM  ) �and Popeyes Louisiana Kitchen (NASDAQ: PLKI  ) . Taco Bell has made the Waffle Taco a centerpiece of its new breakfast menu. Meanwhile, Popeyes is bringing back its popular Chicken Waffle Tenders.     I've come to loathe precedents. So it shouldn't be a surprise that I'm not overly keen on the selling of Noodles & Company (NASDAQ: NDLS  ) as the next Panera (NASDAQ: PNRA  ) or Chipotle (NYSE: CMG  ) or Buffalo Wild Wings (NASDAQ: BWLD  ) . Instead, maybe we can judge the business on its merits, instead of on the success of restaurants that came before it.

    Another stock that's starting to move within range of triggering a near-term breakout trade is Noodles (NDLS), which develops and operates fast casual restaurants that serves noodle and pasta dishes, soups, salads and sandwiches. This stock is off to a decent start so far in 2013, with shares up 12.2%.

    If you look at the chart for Noodles, you'll notice that this stock recently pulled back from $49.15 to $38.90 a share. During that pullback, shares of NDLS were marking lower highs and lower lows, which is bearish technical price action. That said, shares of NDLS have now started to stabilize below $39 a share and the stock is starting to form a near-term uptrend. That uptrend is quickly pushing NDLS within range of triggering a near-term breakout trade.

    Traders should now look for long-biased trades in NDLS if it manages to break out above some near-term overhead resistance at $42.73 a share with high volume. Look for a sustained move or close above that level with volume that hits near or above its three-month average action of 923,754 shares. If that breakout triggers soon, then NDLS will set up to re-test or possibly take out its next major overhead resistance levels at $45 to $47 a share. Any high-volume move above those levels will then give NDLS a chance to take out its all-time high of $51.97 a share.

    Traders can look to buy NDLS off any weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support levels at $39.85 or $38.90 a share. One can also buy NDLS off strength once it takes out $42.73 with volume and then simply use a stop that sits a comfortable percentage from your entry point.

    I went out on a limb last week, and now it's time to see how that decision played out.

    I predicted that Noodles & Co. (NASDAQ: NDLS  ) would close lower on the week. After seeing the fresh IPO more than double and command a $1.3 billion market cap far sooner than its fundamentals should allow, I figured it would be in for reality check. A negative Barron's piece kicked off the week in the seemingly appropriate bearish tone, but the shares did start to claw their way back later in the week. It wasn't enough. The shares fell 3% on the week. I was right. I predicted that the tech-heavy Nasdaq would outperform the Dow Jones Industrial Average. (DJINDICES: ^DJI  ) . This has been a tricky call lately, so how did it play out this time? Well, the market closed nicely higher this week. The Nasdaq moved 3.5% higher, and the Dow managed to close just 2.2% higher. I was right. My final call was for Peregrine Pharmaceuticals (NASDAQ: PPHM  ) to beat Wall Street's income estimates in its latest quarter. The upstart biotech tackling cancer through monoclonal antibodies has been posting blowout quarterly results over the past year, and I was banking on seeing the trend continue. Analysts were looking for a loss of $0.06 a share during the quarter, and it came through with exactly that. It wasn't a beat, though, so I was wrong.

    Two out of three? I can do better than that.

    Keep in mind that the company hasn't been driving growth by running promotions. Many restaurants do this, but growth often comes at the expense of profit margins. Consider that Darden (NYSE: DRI  ) banks its ability to grow comparable sales on promotions. It ran promotions across all its brands, which included a three-course Italian dinner for $12.95 at Olive Garden and endless shrimp for $15.99 at Red Lobster.

    Buffalo Wild Wings faces stiff competition from McDonald's Corp�(MCD), Darden Restaurants Inc. (DRI) and Chipotle Mexican Grill Inc. (CMG). Last year, McDonald�� faced chicken wing problem and was left with 10 million pounds of unsold chicken wings. This made Buffalo Wild Wings to secure its position. Further, it was selling wings by the portion instead of by the number. Darden Restaurants is not performing well, and its fiscal second-quarter earnings missed consensus by a large margin. Its key brand Olive Garden also underperformed for the majority of fiscal 2013. Further, the company is planning to spin off its Red Lobster brand. This paved the way for Buffalo Wild Wings to dominate the market.

    Wall Street had another rising day, with the Dow Industrials and the S&P 500 reaching new record highs. But one tech stock tanked and the momentum took a bunch of others in the sector down with it. The Dow Jones industrial average (^DJI) closed 25 points higher, the Nasdaq composite (^IXIC) added 8 points, and the Standard & Poor's 500 index (^GPSC) was up 3 points. One of the top gainers on the S&P 500 was used car giant CarMax (KMX). Its share price zoomed higher by 16.5 percent with revenue and profits hitting record levels. The still lackluster economic recovery is causing many to drive off lots in used cars instead of new vehicles. And the hottest model over the past two years? The Nissan Altima. Automotive retailer AutoNation (AN), which runs new and used dealerships, also got a boost, rising more than 5 percent. It was a different story for software giant Oracle (ORCL), which was one of the S&P 500's biggest losers. Its stock fell 4 percent on sagging earnings. Social media stocks fell too. Pandora (P) was down 1.5 percent as was Groupon (GRPN), LinkedIn (LNKD) lost almost 1 percent and Amazon (AMZN) fell less than 1 percent two days after unveiling its first smartphone. But poor Radioshack (RSH). Its stock hit a new low, trading below a dollar a share for the first time after falling almost 10 percent. Since the beginning of the year the stock is down 64 percent. One analyst has a price target of zero on the stock. Ouch. (We hope you don't have that one in your portfolio.) And Darden's (DRI) earnings weren't very appetizing. Profits came in much lower than expected and guidance was weak. The stock fell 4 percent. It is selling its Red Lobster chain and trying to focus on revamping Olive Garden. Solar stocks had a bright day, though. Shares of SunEdison (SUNE) shone brightly rising 1.5 percent on news it was acquiring some solar farms in Massachusetts.     As previously announced The Ocean Lexington has been contracted to work for a term of 1,189 days starting in December 2014 at a dayrate of $160k/d with PEMEX. The rate reflects the weak pricing environment in the lower-end of the floater market, but squeezing out any cash flow over the next several years from this asset is a positive for the rig given that it would have likely been stacked had it not won the contract.

    But Ensco’s fleet status update contained a shocker: It had contracted one of its offshore drillers at a rate well above what anyone thought possible in this weak market. Johnson Rice’s Georg Venturatos explains:

    Jefferies reported on Thursday that it has cut its rating on chemical company Ashland Inc. (ASH).

    The firm has downgraded ASH from “Buy” to “Hold,” and has lowered the company’s price target from $104 to $97. This price target suggests a 9% upside from the stock’s current price of $88.47.

    Analyst Laurence Alexander commented: “Investor confidence in the asset shuffling thesis may not withstand 2-3 more rounds of downward revisions to EPS and FCF forecasts for 2014E-2016E.”

    “Pension headwinds, incentive comp, Valvoline marketing expenses, sluggish end markets: in our view, it all adds up, and makes further multiple expansion more difficult.”

    Looking ahead, the firm has reduced estimates for the fourth quarter from $1.70 to $1.59 per share. For FY2013, earnings estimates have been lowered from $6.25 to $6.15 per share. FY2014 estimates have been cut from $7.45 to $6.75 per share.

The McPherson, Kansas refinery is owned and operated by National Cooperative Refinery Association (NCRA), of which the Company owns approximately 74.5%. The McPherson refinery processes approximately 85% low and medium sulfur crude oil and 15% heavy sulfur crude oil into gasoline, diesel fuel and other distillates, propane and other products. NCRA sources its crude oil through its own pipelines as well as common carrier pipelines. The low and medium sulfur crude oil is sourced from Kansas, Oklahoma and Texas, and the heavy sulfur crude oil is sourced from Canada. The McPherson refinery processes approximately 85,000 barrels of crude oil per day to produce refined products that consist of approximately 49% gasoline, 45% diesel fuel and other distillates, and 6% propane and other products. Approximately 32% of the refined fuels are loaded into trucks at the McPherson refinery or shipped via NCRA�� products pipeline to its terminal in Council Bluffs, Iowa. The remaining refined fuel products are shipped to other markets via common carrier pipelines.

The Company�� renewable fuels marketing business markets and distributes ethanol and biodiesel products throughout the United States and overseas by contracting with ethanol and biodiesel production plants to market and distribute their finished products. It owns and operates a propane terminal, four asphalt terminals, seven refined product terminals and three lubricants blending and packaging facilities. The Company also owns and leases a fleet of liquid and pressure trailers and tractors, which are used to transport refined fu! els, prop! ane, anhydrous ammonia and other products.

The Company�� Energy segment produces and sells (primarily wholesale) gasoline, diesel fuel, propane, asphalt, lubricants and other related products and provides transportation services. It obtains the petroleum products that it sells from its Laurel and McPherson refineries, and from third parties. The Company�� wholesale crop nutrients business sells nitrogen, phosphorus, potassium and sulfate based products. Country operations operates 401 locations through 67 business units, the majority of which have local producer boards dispersed throughout Colorado, ! Most of the grain purchased is sold through its grain marketing operations, used for livestock feed production or sold to other processing companies. Of these bushels, 558 million were purchased from members and 417 million were sold through its grain marketing operations. Its country operations business units manufacture and sell other products, both directly and through ownership interests in other entities. These include seed, crop nutrients, crop protection products, energy products, animal feed, animal health products and processed sunflower products.

The Company is the cooperative marketer of grain and oilseed based on grain storage capacity and grain sales, handling over 2.1 billion bushels annually. During fiscal 2011, it purchased approximately 60% of its total grain volumes from individual and cooperative association members and its country operations business, with the balance purchased from third parties. The Company arranges for the transportation of the grains either directly to customers or to its owned or leased grain terminals and elevators awaiting delivery to domestic and foreign purchasers. It primarily conducts its grain marketing operations directly, but do conduct some of its business through joint ventures.

The Company��! grain ma! rketing operations purchases grain directly and indirectly from agricultural producers primarily in the midwestern and western United States. The purchased grain is contracted for sale for future delivery at a specified location, and it is responsible for handling the grain and arranging for its transportation to that location. The Company owns and operates export terminals, river terminals and elevators involved in the handling and transport of grain. Its river terminals are used to load grain onto barges for shipment to both domestic and export customers via the Mississippi River system. These river terminals are located at Savage and Winona, Minnesota and Davenport, Iowa, as well as terminals in which it has put-through agreements located at St. Louis, Missouri and Beardstown and Havana, Illinois.

The Company�� export terminal at Superior, Wisconsin provides access to the Great Lakes and St. Lawrence Seaway, and its export terminal at Myrtle Grove, Louisiana serves the Gulf of Mexico market. In the Pacific Northwest, it conducts its grain marketing operations through TEMCO, LLC (a 50% joint venture with Cargill) which operates an export terminal in Tacoma, Washington, and primarily exports corn and soybeans. The Company owns two 110-car shuttle-receiving elevator facilities in Friona, Texas and Collins, Mississippi that serve large-scale feeder cattle, dairy and poultry producers in those regions.

For sourcing and marketing grains and oilseeds through the Black Sea and Mediterranean Basin regions to customers worldwide it has offices in Geneva, Switzerland; Barcelona, Spain; Kiev, Ukraine; and Vostok, Russia. In addition, it opened grain merchandising offices in fiscal 2011 in Budapest, Hungary; Novi Sad, Serbia; Bucharest, Romania; Sofia, Bulgaria; and a marketing office in Amman, Jordan. The Company has a deep water port in Constanta, Romania, a barge loading facility on the Danube River in Giurgiu, Romania, and an inland grain terminal at Oroshaza, Hungary. In addition! , it has ! an investment in a port facility in Odessa, Ukraine. In the Pacific Rim area, it has offices in Hong Kong and Shanghai, China that serve customers receiving grains and oilseeds from its origination points in North and South America. In South America, the Company has a grain merchandising offices to source grains in Sao Paulo, Brazil and Buenos Aires, Argentina. It sells and markets crop nutrients from its Geneva, Switzerland; Sao Paulo, Brazil; and Buenos Aires, Argentina offices.

The Company�� grain marketing operations purchased approximately 2.1 billion bushels of grain during fiscal 2011, which primarily included corn, soybeans, wheat and distillers dried grains with solubles (DDGS). Of the total grains purchased by its grain marketing operations, 866 million bushels were from its individual and cooperative association members, 417 million bushels were from its country operations business and the remainder was from third parties. The Company�� oilseed processing operations convert soybeans into soybean meal, soyflour, crude soybean oil, refined soybean oil and associated by-products. These operations are conducted at a facility in Mankato, Minnesota that can crush approximately 40 million bushels of soybeans on an annual basis, producing approximately 960 thousand short tons of soybean meal and 460 million pounds of crude soybean oil. The same facility is able to process approximately 1.1 billion pounds of refined soybean oil annually. Another crushing facility in Fairmont, Minnesota has a crushing capacity of over 50 million bushels of soybeans on an annual basis, producing approximately 1.2 million short tons of soybean meal and 575 million pounds of crude soybean oil.

The Company�� oilseed processing operations produce three primary products: refined oils, soybean meal and soyflour. Refined oils are used in processed foods, such as margarine, shortening, salad dressings and baked goods, as well as methyl ester/biodiesel production, and for certain industrial uses, ! such as p! lastics, inks and paints. Soybean meal has high protein content and is used for feeding livestock. Soyflour is used in the baking industry, as a milk replacement in animal feed and in industrial applications. It produces approximately 60 thousand tons of soyflour annually, and approximately 20% is further processed at its manufacturing facility in Hutchinson, Kansas. This facility manufactures unflavored and flavored textured soy proteins used in human and pet food products, and accounted for approximately 2% of its oilseed processing annual sales in fiscal 2011.

The Company�� soy processing facilities are located in areas with a strong production base of soybeans and end-user market for the meal and soyflour. It purchases virtually all of its soybeans from members. The Company�� oilseed crushing operations produce approximately 95% of the crude soybean oil that it refines, and purchases the balance from outside suppliers. Its customers for refined oil are principally large food product companies located throughout the United States. However, over 50% of its customers are located in the midwest. Its largest customer for refined oil products is Ventura Foods, LLC (Ventura Foods), in which it holds a 50% ownership interest. The Company�� sales to Ventura Foods accounted for 27% of its soybean oil sold during fiscal 2011. The Company also sells soymeal to approximately 325 customers, primarily feed lots and feed mills in southern Minnesota. In fiscal 2011, Interstate Commodities accounted for 12% of its soymeal sold. It sells soyflour to customers in the baking industry both domestically and for export.

Corporate and Other

The Company has provided open account financing to approximately 100 of its members that are cooperatives (cooperative association members). These arrangements involve the discretionary extension of credit in the form of a clearing account for settlement of grain purchases and as a cash management tool. CHS Capital, LLC makes seasonal and term! loans to! member cooperatives and individual producers. The Company�� wholly owned subsidiary, Country Hedging, Inc., is a registered Futures Commission Merchant and a clearing member of both the Minneapolis Grain Exchange and the Kansas City Board of Trade. Country Hedging provides full-service commodity risk management brokerage and consulting services to its customers, primarily in the areas of agriculture and energy.

The Company�� wholly owned subsidiary, Ag States Agency, LLC, is a full-service independent insurance agency. It sells insurance, including all lines of insurance including property and casualty, group benefits and surety bonds. Its approximately 2,000 customers are primarily agribusinesses, including cooperatives and independent elevators, energy, agronomy, feed and seed plants, implement dealers and food processors. Impact Risk Solutions, LLC, a wholly owned subsidiary of Ag States Agency, LLC, conducts the insurance brokerage business of Ag States Group.

The Company�� primary focus in the foods area is Ventura Foods, LLC (Ventura Foods) which produces and distributes vegetable oil-based products, such as margarine, salad dressing and other food products. Ventura Foods is 50% owned by the Company. Ventura Foods manufactures, packages, distributes and markets bulk margarine, salad dressings, mayonnaise, salad oils, syrups, soup bases and sauces, many of which utilize soybean oil as a primary ingredient. Ventura Foods has 11 manufacturing and distribution locations across the United States. Ventura Foods sources its raw materials, which consist primarily of soybean oil, canola oil, cottonseed oil, peanut oil and other ingredients and supplies, from various national suppliers, including its oilseed processing operations. Agriliance LLC (Agriliance) is owned and governed by CHS (50%) and Land O��akes, Inc. (50%).

    I can't say I'm someone who particularly likes to push my luck in regions of the world where political upheaval can threaten my investments.
